Terms of Service

1. Acceptance of Terms

By creating an account at soccial.ai or using any of our services, you agree to be bound by these Terms of Service (the "Terms"). If you are using Soccial AI on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and the organization.

2. The Service

Soccial AI is an AI-powered assistant that helps operators run giveaways and manage related workflows across connected platforms including GoHighLevel, Instagram, and Shopify. The service is delivered as a web application, with subscription plans that determine available features, messages, image generation, and integrations.

3. Accounts and Security

  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • Notify us promptly at support@givaway.ai if you suspect unauthorized use of your account.
  • One person or legal entity may not maintain more than one free account.

4. Acceptable Use

You agree not to use Soccial AI to:

  • Run giveaways that violate applicable sweepstakes, contest, lottery, gambling, or consumer-protection laws in your jurisdiction or the jurisdiction of your entrants.
  • Send spam, unsolicited commercial messages, or content that violates a third-party platform's terms (including Instagram's, Shopify's, or GoHighLevel's platform rules).
  • Attempt to reverse engineer, probe, or disrupt the service or the underlying infrastructure.
  • Use the service to harass, defame, infringe copyright, or harm any person or entity.
  • Generate AI images or other content that is unlawful, explicit, infringing, or designed to impersonate a real person without consent.
  • Share your account or resell access to the service without our written permission.

Violation of this section may result in immediate suspension or termination without refund.

5. Subscriptions, Billing, and Refunds

  • Paid plans are billed in advance on a monthly or annual basis via Stripe. By subscribing you authorize recurring charges at the price displayed at checkout.
  • Prices, tiers, and included features are published on /pricing and may change from time to time. If we change the price of your existing plan, we will notify you at least 30 days in advance and your new rate takes effect at your next renewal.
  • Early adopter pricing, where indicated, is locked in for the lifetime of your continuous subscription.
  • You may cancel at any time from the billing page. Cancellation takes effect at the end of your current billing period; you retain access through that period.
  • Refunds: fees already paid are non-refundable except where required by law. We may issue a prorated refund at our discretion when a cancellation is due to a material service outage caused by us.
  • The Complete plan (our concierge tier) is sold and billed separately by individual agreement.

6. Your Data and Integrations

When you connect GoHighLevel, Instagram, or Shopify, you authorize Soccial AI to access and act on the data within those integrations on your behalf, using the OAuth scopes you approve at the time of connection. You remain the controller of that data. You can revoke access at any time by disconnecting the integration in Soccial AI or uninstalling the Soccial AI app from within that platform.

You represent that you have the right to connect each integration and to authorize Soccial AI to act on the associated data, and that your use of the integrations complies with each platform's terms of service.

7. AI Output Disclaimer

Soccial AI uses AI models (currently the Grok family by xAI) to generate chat responses, plans, and images. AI output may be inaccurate, incomplete, or reflect biases in training data. You are responsible for reviewing AI-generated content before relying on it for material decisions and for verifying that any actions the AI proposes are correct before approving them. The approval gate in Soccial AI exists for this reason; use it.

8. Intellectual Property

  • We retain all rights in Soccial AI's software, trademarks, and documentation.
  • You retain ownership of content you create in your connected integrations (contacts, forms, Instagram posts, Shopify products, etc.). You grant us a limited license to process that content solely to operate the service for you.
  • Images generated via Soccial AI's AI image tool are licensed to you for use in your business subject to xAI's applicable usage terms.

9. Termination

  • You may terminate your account at any time from the billing page.
  • We may suspend or terminate your account immediately and without refund for material breach of these Terms, fraud, abuse, or a credible risk of harm to us, our other users, or third parties.
  • Upon termination we will disable access and begin data deletion per our Privacy Policy.

10. Service Level and Warranties

Soccial AI is provided "as is" and "as available". We do not warrant that the service will be uninterrupted, error-free, or meet your specific requirements. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, Soccial AI and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or exemplary damages, including lost profits, lost revenue, lost data, or business interruption, arising from or related to your use of the service. Our aggregate liability for any claim will not exceed the greater of (a) the fees you paid us in the twelve months preceding the claim or (b) one hundred US dollars (USD $100).

12. Indemnity

You agree to defend, indemnify, and hold Soccial AI harmless from any claim or demand, including reasonable attorneys' fees, arising out of your misuse of the service, your violation of these Terms, your violation of applicable law, or your violation of a third-party platform's terms.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Utah, USA, without regard to conflict-of-law principles. Any dispute will be resolved exclusively in the state or federal courts located in Salt Lake County, Utah, and you consent to personal jurisdiction there.

14. Changes to these Terms

We may update these Terms from time to time. For material changes we will notify you by email at least 30 days in advance. Continued use of the service after the effective date constitutes acceptance.
